Shareholders

Shareholders own issued shares. The record should identify authorized and issued shares, subscriptions, certificates, transfers, cancellations, redemptions, and the current stock ledger.

Directors and officers

Directors oversee major corporate decisions; officers carry out assigned responsibilities. Elections, appointments, resignations, authority, and compensation should be documented.

Corporate formalities

Maintain articles, bylaws, organizational approvals, annual and special minutes or consents, resolutions, conflict records, filings, and supporting agreements.
