Nevada, Wyoming, and Texas Company Comparison

The best formation state usually follows actual operations, owners, property, employees, licensing, and tax obligations—not a single fee or marketing claim.

Nevada

A domestic LLC commonly has a $75 articles fee, $150 initial list, and generally a $200 state business license. Annual list and license duties continue. Nevada has no individual or corporate income tax, but other business taxes may apply.

Wyoming

A domestic LLC filing is generally $100. The annual report/license tax has a $60 minimum and may rise with Wyoming assets. A qualifying agent must maintain a physical Wyoming address.

Wyoming Secretary of State

Texas

An LLC or for-profit corporation filing is generally $300. Texas has an annual Comptroller information-report and franchise-tax cycle even when no tax is due. The agent needs a Texas street address.

What to consider or prepare

  • Where the office, employees, inventory, property, and regular operations will be
  • Where owners and managers work and make decisions
  • Whether another formation state creates foreign registration and a second annual calendar
  • Five-year filing, license, agent, and tax costs—not only the first fee
  • Licensing, investor, privacy, public-record, and professional-entity requirements

Figures can change. Confirm current government charges and tax rules before filing. A company formed outside its operating state may need foreign qualification, another agent, additional filings, and additional fees.
